Effective Date: May 2025
These Terms of Service ("Terms") constitute a legally binding agreement between you and Starboard and Stem Inc. ("we," "us," or "our"), operating as The Private Table, a private membership dining club based in Kingston, Ontario, Canada.
By applying for membership, activating your account, purchasing event seats, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.
The Private Table operates as a membership-based organisation. Access to event bookings and the member portal requires an active membership. The following membership tiers are available:
| Tier | Individual | Household (2 people) | Notes |
|---|---|---|---|
| Charter | Lifetime — Free | Lifetime — Free | Founding-era members; lifetime access at no annual cost |
| Founding | $95 / year | $150 / year | Limited availability; locked at founding-era pricing |
| Standard | $150 / year | $250 / year | General membership tier |
Membership fees are billed annually. All prices are in Canadian dollars and are subject to applicable taxes. Fees are reviewed periodically; existing members will be given reasonable advance notice of any changes to their tier pricing.
Membership is personal and non-transferable. A household membership covers two named individuals residing at the same primary address.
An active membership is required to purchase seats at any Private Table dining event. Non-members may not independently register for or attend events, except as guests expressly invited by the organisation or an active member in accordance with our guest policy.
Members must maintain a current membership in good standing (fees paid, no outstanding balances, no violations of these Terms) to retain event booking privileges. The Private Table reserves the right to suspend booking access pending resolution of any account issues.
Each dining event is individually priced. Event fees reflect the menu, chef, venue, service, and the exclusive nature of the experience. Prices are displayed on the event listing prior to booking and are payable in full at the time of reservation.
We understand that plans change. The following policy applies to all event seat bookings:
Annual membership fees are non-refundable once the membership year has commenced. If a member cancels their membership mid-year, no prorated refund will be issued for the remaining period. Membership access will continue until the end of the paid annual term.
All cancellation requests — whether for event seats or annual membership — must be submitted in writing to:
Cancellation requests submitted by any other means (telephone, social media, verbal notice) will not be accepted. The timestamp of the written cancellation email determines which refund tier applies.
In the event that The Private Table cancels an event for any reason, all booked guests will receive a full refund of their event seat fees within five (5) business days.
Membership in The Private Table is a privilege extended at our discretion. Members are expected to conduct themselves with courtesy and respect toward other guests, chefs, hosts, and staff at all times. We reserve the right to suspend or terminate the membership of any individual whose behaviour is deemed by us to be disruptive, disrespectful, or inconsistent with the values of our community.
Members are responsible for the conduct of any guests they bring to an event. Membership is non-transferable and may not be shared.
To the maximum extent permitted by applicable law, Starboard and Stem Inc. and its officers, directors, staff, chefs, and host partners shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services or attendance at events. Our total liability for any claim shall not exceed the amount you paid for the specific event or membership giving rise to the claim.
By attending an event, you acknowledge that dining experiences involve inherent risks including, but not limited to, food allergies. You are responsible for disclosing all dietary restrictions and allergies at the time of booking. While we make every effort to accommodate restrictions, we cannot guarantee an allergen-free environment.

We reserve the right to amend these Terms at any time. Material changes will be communicated to active members by email with reasonable advance notice. Continued use of our services following the effective date of any changes constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
